By accessing https://resize.toolyconvert.com you agree to these terms and to our privacy policy. If you do not agree, please do not use the service. Where you use the tools on behalf of an organisation, you confirm that you are authorised to bind it to these terms.

Toolyconvert Image Resize provides browser-based utilities, including a browser-based image resizing and conversion tool that processes files locally without uploading them The tools are provided free of charge and are offered on an "as available" basis.

We may add, change, suspend or discontinue any part of the service at any time, including for maintenance, security or legal reasons. Where reasonably possible, we will give notice of material changes on the site.

You agree not to use the service in a way that:

• Breaks any applicable law or regulation, including copyright, privacy and export-control rules.
• Attempts to disrupt, overload, reverse-engineer or gain unauthorised access to the service or its infrastructure.
• Uses automated means to scrape, mirror or resell the service without our written permission.
• Distributes malware, or processes content that infringes the rights of others.
• Misrepresents the origin of output files or uses them to commit fraud.

You retain all rights to the files you process with our tools. Because those files are processed locally and are not transmitted to us, we neither claim a licence to them nor assume any responsibility for them.

You confirm that you have the necessary rights to process any file you work with, and that your use of the output does not infringe the rights of anyone else.

The Toolyconvert Image Resize name, visual identity, source code, text and design are owned by us or our licensors and are protected by intellectual-property law. These terms give you a personal, non-exclusive, non-transferable licence to use the service; they do not transfer any ownership to you.

To the maximum extent permitted by law, the service is provided without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. To the maximum extent permitted by law, Toolyconvert Image Resize will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profit, goodwill or business opportunity arising out of your use of — or inability to use — the service.

Where liability cannot be excluded, our total aggregate liability is limited to the greater of USD 100 or the amount you paid us in the 12 months before the claim arose.

You agree to indemnify and hold harmless Toolyconvert Image Resize against claims, damages and expenses (including reasonable legal fees) arising from your misuse of the service or your violation of these terms.

We may restrict or terminate access to the service for conduct that violates these terms or creates risk for the service or other users. You may stop using the service at any time; because there are no accounts, there is nothing to cancel.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will first be raised in good faith by email to legal@toolyconvert.com and, if they cannot be resolved, will be subject to the exclusive jurisdiction of the courts located there.

We may update these terms to reflect changes in the service or the law. The revision date at the top of this page indicates when they were last changed; continued use after that date constitutes acceptance.
